1. Acceptance & Scope

By using this website (“Site”), sending messages, or uploading materials, you agree to these Terms, which govern both visitors and clients.
 
2. Intellectual Property & Submissions

• Any idea, concept, or image you message or upload is not considered confidential unless we’ve signed a separate NDA.

• You waive any claim that Yellowcake misappropriated your idea—even if we later create something similar.

• All pitch documents, proposals, or creative work sent by Yellowcake remain our property unless expressly assigned in writing.

3. User-Generated Content & Uploads

You represent that you own or control rights to all content you upload. You grant Yellowcake a perpetual, royalty-free, worldwide license to use, modify, store, archive, display, or delete such content.
 

• We do not guarantee preservation of your uploaded content: if you delete it, we are under no obligation to retain copies or restore it.
   

• We may remove content that violates laws or infringe third‑party rights or our standards, without notice.
   

 
4. Warranty & Liability Disclaimers

• The Site and all communications are provided “as is,” with no warranty of any kind.
   

• We are not responsible if you rely on information or the assumption that your submission creates duties on our part.
   

• Our sole liability—regardless of nature—is capped at USD 100 per user. We disclaim liability for indirect, consequential, punitive, or incidental damages.
   

 
5. Indemnification

You agree to defend, indemnify, and hold harmless Yellowcake and its affiliates against any claims arising from your uploads, messages, or breach of these Terms, including intellectual property infringement or defamation.

 
6. Assignability

• Yellowcake’s Right to Assign: We may assign or transfer all or part of our rights and obligations under these Terms to affiliates, subsidiaries, or any related entities without notice or additional agreement.
   

• Your Restriction: You may not assign or delegate your rights or obligations under these Terms to any third party unless we expressly agree in signed writing, otherwise any transfer is void

 
7. Arbitration & Governing Law

• These Terms are governed by the laws of California, U.S.A.
   

• Any dispute related to or arising under these Terms or your use of the Site will be resolved by binding arbitration in Los Angeles County, California, before a single arbitrator in accordance with the rules of AAA or JAMS, and subject to California law and the California Arbitration Act.You may not bring class actions or representative claims; arbitration will proceed only on an individual basis.
   

• You may still seek injunctive or equitable relief in California courts when permitted by law.
   

• If any portion of this arbitration clause is found unenforceable (e.g., due to unconscionability), the remaining provisions will survive, unless doing so undermines the core intent of mutual arbitration.

 
8. Prohibited Conduct

You may not misuse or abuse any feature of the Site (e.g. automated scraping, spamming messages, malicious uploads). Violations may result in removal of access or legal action.

 
9. Updates & Changes

We may update these Terms from time to time. Updated Terms take effect when posted. Your continued use of the Site constitutes acceptance. We will not rely on surprise, unilateral changes to arbitration or assignment provisions that would render the contract illusory.
